GOVERNING LAW
The construction, validity and performance of these Terms and any disputes between the parties shall be governed by and construed according to the laws of the State of New York, without giving effect to its conflicts of law principles, and any federal laws applicable therein. Both parties submit to the exclusive jurisdiction of the courts of Suffolk County NY in the State of New York with respect to any legal proceedings relating to these terms.
